Rumored TransForce bid for Dynamex topped

TORONTO — Same-day delivery and logistics provider Dynamex says that it has accepted an increased offer to be acquired by an affiliate of Greenbriar Equity Group (DashNow) for a price of $24 per share, or about $237.8 million.

The deal trumps a $23.50 per share offer made by a mystery bidder that was reportedly Canadian trucking giant TransForce.

Dynamex says it and Greenbriar, a transportation and logistics-focused private equity, have signed an amendment to their previously announced merger agreement reflecting the new offer price.

The deal also increases the termination fee to $7.7 million in the event Dynamex’s board ends up accepting an unsolicited takeover proposal that the company’s board determines to be superior to Greenbriar’s new offer.

(Dynamex would have had to pay $6.3 million if it previously accepted the mystery bidder’s offer).

Several transportation analysts speculated at the time that TransForce was the company making a play at Dynamex — a move that would expand the Canadian carrier’s same-day delivery footprint in the U.S. while at the same time remove a competitor from the Canadian same-day delivery market.
